By applying to or participating in The Blockchain Blueprint Affiliate Program (the “Affiliate Program”), you (“Affiliate,” “you,” or “your”) agree to be bound by these Affiliate Terms & Conditions (the “Agreement”). Please read the Agreement carefully.

1. ACCEPTANCE OF AGREEMENT

1.1. By applying to or participating in the Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1.2. This Agreement is a binding contract between you and United Blockchain Learning LLC.
1.3. You must be at least 18 years old to participate. By joining the program, you represent that you are 18 or older.

2. ENROLLMENT AND PARTICIPATION

2.1. Affiliates must apply through the designated sign-up email link provided by UBL.
2.2. Acceptance into the Affiliate Program is at our sole discretion.
2.3. Once accepted, you will receive a unique tracking link (“Affiliate Link”). It is your responsibility to ensure your link is properly formatted and functioning.
2.4. This Agreement creates a non-exclusive relationship. Both parties remain free to work with third parties.

3. COMMISSION STRUCTURE

3.1. Commission percentages vary by affiliate (typically 10% or 20%) and will be communicated directly to each affiliate.
3.2. Commissions are calculated on gross sales amounts for simplicity and transparency.
3.3. For recurring/subscription purchases, commissions accrue for up to twelve (12) months from the customer’s initial purchase date.
3.4. The Affiliate Program uses last-click attribution, meaning the most recent affiliate link clicked receives credit.
3.5. Commissions are only earned on valid Customer Transactions (as defined below).

4. COOKIE WINDOW

Your Affiliate Link will track eligible leads for ninety (90) days from the initial click. If a customer completes a qualifying purchase within this 90-day period, the sale will be credited to you unless the customer clicks another affiliate’s link after yours, in which case the most recent affiliate link (“last click”) will receive credit.

5. CUSTOMER TRANSACTIONS & ELIGIBILITY

5.1. A “Lead” is a visitor who clicks your Affiliate Link.
5.2. A “Customer Transaction” occurs only when a Lead completes a qualifying purchase through the UBL checkout system.
5.3. A Lead is not valid if:
(a) the Lead is not a real person;
(b) the Lead was already in UBL’s database;
(c) the Lead clicks another affiliate’s link after yours;
(d) the Lead is located in an OFAC-sanctioned country.
5.4. A transaction is not eligible if the purchaser is you.
5.5. If a customer requests a refund (in rare cases of duplicate purchase or genuine technical error), the commission is voided.
5.6. Fraud, misuse, or manipulation of the affiliate system voids all commissions and results in immediate termination.

6. COMMISSION PAYMENT TERMS

6.1. Commissions are paid out 31 days after the sale to allow for fraud review periods.
6.2. Payments are processed through Stripe. Affiliates must maintain a valid and active Stripe payout method.
6.3. There is no minimum payout threshold.
6.4. UBL determines the payout currency and conversion rates at its discretion.
6.5. UBL will not pay multiple commissions on the same sale.

7. TAX COMPLIANCE

7.1. Affiliates must submit a W-9 (U.S. persons) or W-8BEN (non-U.S. persons) before their first payout.
7.2. Affiliates are solely responsible for reporting and paying taxes on their commissions.
7.3. UBL may withhold payments if required documentation is not provided.

8. MARKETING RULES

8.1. Affiliates must comply with all laws, including FTC disclosure requirements (e.g., stating “This post contains affiliate links and I may earn a commission”).
8.2. Affiliates may not:
(a) run paid ads on “UBL,” “Blockchain Blueprint,” or any branded UBL keywords;
(b) misrepresent UBL or make false claims;
(c) offer bonuses, discounts, rebates, or incentives;
(d) impersonate UBL or suggest official endorsement;
(e) use UBL trademarks without written permission.
8.3. UBL may revoke marketing privileges or require removal of infringing content at any time.

9. PROHIBITED CONDUCT

You may not engage in:

• cookie stuffing or forced redirects

• spam emails or unsolicited commercial messages

• misleading claims or income guarantees

• self-purchases or test purchases through your own link

• promoting to minors

• promoting in OFAC-sanctioned countries

Violation of this section results in immediate termination and forfeiture of all unpaid commissions.

10. TERMINATION

10.1. Either party may terminate this Agreement at any time, with or without cause.
10.2. UBL may terminate immediately for:

• violation of these terms

• violation of UBL Terms & Conditions

• fraudulent behavior

• reputational harm to UBL
  10.3. If termination occurs due to Affiliate noncompliance, all unpaid commissions are forfeited.
  10.4. If terminated without cause, UBL will pay earned commissions up to the date of termination.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless UBL, its officers, members, employees, and affiliates from any claims arising out of your:

• breach of this Agreement

• violation of laws

• misuse of trademarks

• deceptive or unethical marketing

12. LIMITATION OF LIABILITY

12.1. UBL is not liable for indirect, incidental, or consequential damages.
12.2. UBL’s total liability under this Agreement shall not exceed the total commissions paid to you in the preceding six (6) months.

13. GOVERNING LAW, ARBITRATION & CLASS ACTION WAIVER

13.1. This Agreement is governed exclusively by the laws of Puerto Rico.
13.2. Any dispute must be resolved through binding arbitration in San Juan, Puerto Rico, with remote participation allowed.
13.3. No class actions. No jury trials. All disputes must be brought individually.

14. MODIFICATIONS

UBL may update or modify this Agreement at any time. Updates take immediate effect. You are responsible for reviewing the Affiliate Terms periodically. Continued participation constitutes acceptance of changes.

15. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and UBL regarding the Affiliate Program and supersedes any prior agreements or communications.

END OF AFFILIATE TERMS & CONDITIONS
